1. Acceptance of These Terms
These Terms of Service (“Terms”) are a legal agreement between you and Red Umbrella Home & Garage Contractors (“Red Umbrella,” “we,” “us”) governing your use of redumbrellaservices.com (the “Site”) and the information, content, and tools on it, including our AI assistant. By accessing or using the Site, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, please do not use the Site.
Important: these Terms govern your use of the website. The actual construction services we provide are governed by a separate, signed written agreement between you and Red Umbrella, which controls in the event of any conflict with these Terms regarding that work.
2. About Red Umbrella
Red Umbrella Home & Garage Contractors is a licensed general contracting business owned and operated by Bari Swartz, a licensed General Contractor and Supervisory Master Electrician building since 1969. We are located at 254 Hardy Ave, Eugene, OR 97402, and we are licensed by the Oregon Construction Contractors Board (CCB #210412), bonded, and insured. We design and build custom garages, garage conversions, accessory dwelling units (ADUs), and home additions for homeowners across Eugene, Lane County, and the surrounding region.
3. Services, Pricing & Estimates
Service area
We serve Eugene, Springfield, and the surrounding Lane County and southern Willamette Valley communities. Projects outside our usual service area are considered on a case-by-case basis.
Pricing shown on this Site
Any prices, ranges, or “ballpark” figures shown anywhere on the Site or provided by Tess are general, industry-average estimates for the Eugene area, provided for educational and informational purposes only. They are not offers, guarantees, or binding quotes, and they may not reflect current costs. Actual pricing depends on your specific site conditions, design choices, materials, permitting, and scope of work.
Estimates versus quotes
A free on-site consultation allows us to prepare a written estimate based on your specific project. A binding price is established only when both parties sign a written contract. Until then, nothing on this Site or said by Tess constitutes a firm price.
Scope of work
The scope, specifications, materials, schedule, and price of any project are defined in your written agreement. Work, materials, or features not expressly included in that agreement are excluded.
4. The Tess AI Assistant
Our Site offers an automated chat assistant named “Tess,” powered by a third-party artificial-intelligence model (Anthropic’s Claude). Tess provides general information and helps you request a consultation. By using Tess, you acknowledge and agree that:
- Tess can produce inaccurate, incomplete, or outdated information, and its responses are generated automatically;
- Nothing Tess says is a binding quote, an offer, professional or engineering advice, or a legal representation;
- You should not rely on Tess or this Site for urgent or emergency situations — for anything time-sensitive, call us directly at (541) 515-3843; and
- Important details — pricing, code and permit requirements, timelines, and feasibility — must be confirmed by Bari before you rely on them.
Please do not share sensitive personal or financial information with Tess. Your use of Tess is also subject to our Privacy Policy.
5. Scheduling & Consultations
Requests submitted through the Site or through Tess are requests for service — not confirmed appointments — until a member of our team contacts you to schedule. We make reasonable efforts to respond promptly during our business hours (Monday–Friday 7am–5pm and Saturday 9am–6pm, Pacific Time). Consultations are free and carry no obligation. If you need to reschedule or cancel a consultation, please let us know as early as you reasonably can.
6. Project Agreements & Payment
All construction work is performed under a written agreement that sets out the scope, total price, payment schedule, and timeline for your project. Payment terms — including any deposit, progress payments tied to milestones, and final payment due upon completion — are defined in that agreement. Oregon law limits the deposit a residential contractor may collect, and our agreements are written to comply with applicable law. Accepted payment methods are stated in your agreement. Late or missed payments may be subject to the charges and remedies described in your contract and permitted by Oregon law.
7. Change Orders
Construction projects sometimes change. Any change to the agreed scope — whether you request it, or it becomes necessary because of hidden site conditions, code requirements, or permitting — will be documented in a written change order that describes the additional or modified work and any resulting adjustment to the price or schedule. Where practical, change orders are reviewed and signed before the changed work proceeds, so there are no surprises.
8. Permits & Inspections
Most of the projects we build — garages, ADUs, and additions — require permits and inspections from the City of Eugene, Lane County, or the relevant jurisdiction. As part of your project we identify the required permits and, where agreed, obtain them, and we build our work to meet code and pass inspection. Permit fees, plan-review periods, and inspection scheduling are set by the governing authority and are outside our control; we’ll keep you informed as your project moves through the process.
9. Our Warranties
Workmanship warranty
We warrant our workmanship as set out in your written agreement and as required by Oregon law. We build to last, and we stand behind the work we perform. If a covered workmanship issue arises within the warranty period, contact us and we’ll make it right per your agreement.
Manufacturer (material) warranties
Manufactured products and materials installed in your project — such as windows, doors, siding, roofing, fixtures, and appliances — carry their own manufacturers’ warranties, which we pass through to you. Those warranties are provided by the manufacturers, not by Red Umbrella, and are subject to the manufacturers’ terms and registration requirements.
10. Warranty Exclusions
Unless your written agreement says otherwise, our warranties do not cover: normal wear, aging, fading, and weathering; damage caused by misuse, abuse, neglect, or failure to perform routine maintenance; alterations, repairs, or additions made by you or anyone other than Red Umbrella; movement, settling, shrinkage, or conditions outside our reasonable control (such as soil movement, moisture, severe weather, or acts of nature); owner-supplied materials or owner-directed methods; and pre-existing conditions of the home that were not part of our contracted scope of work.
11. Oregon Construction Lien Rights
Oregon law gives certain parties the right to place a lien on your property in connection with construction work, and it requires contractors to inform you about it. Under ORS Chapter 87, contractors, subcontractors, and material suppliers who furnish labor or materials may file a construction lien against the property if they are not paid for their contribution. Before most residential projects, Oregon contractors provide an “Information Notice to Owner,” which explains these lien rights and the steps you can take to protect your property — including paying by joint check and obtaining lien waivers. We encourage every homeowner to read that notice carefully. You can learn more from the Oregon Construction Contractors Board at oregon.gov/ccb. Red Umbrella is CCB-licensed (#210412), and the CCB is also where you can verify a contractor’s license or raise a concern.
12. Insurance Claims
If your project involves an insurance claim (for example, repairs after storm or fire damage), we’re glad to work with you and your insurer. However, the contract for the work is between you and Red Umbrella — you are responsible for payment under your agreement regardless of the timing or outcome of your insurance claim, and we do not act as a public adjuster or negotiate the claim on your behalf. Oregon law prohibits contractors from paying, waiving, or rebating an insurance deductible, and we comply with that law.
13. Acceptable Use of the Website
You agree to use the Site lawfully and respectfully. You agree not to: interfere with, disrupt, or overload the Site or its servers; attempt to gain unauthorized access to any part of the Site or related systems; scrape, harvest, or collect data from the Site by automated means; submit false, misleading, or fraudulent information, including through forms or Tess; transmit spam, malware, or harmful code; or use the Site to infringe the intellectual-property or privacy rights of others. We may suspend or restrict access to anyone who misuses the Site.
14. Intellectual Property
All content on the Site — including text, photographs of our completed projects, graphics, illustrations, logos, trademarks, and the overall design and arrangement — is owned by Red Umbrella or used with permission, and is protected by United States copyright, trademark, and other laws. You may view the content and share links to our pages, but you may not copy, reproduce, republish, modify, distribute, or use it for commercial purposes without our prior written permission. The Red Umbrella name and logo may not be used without our consent.
15. Reviews, Testimonials & Submissions
Customer reviews and testimonials shown on the Site reflect the experiences of specific clients and are not a guarantee of any particular result for your project. If you submit a review, photo, comment, or other content to us or about us, you grant Red Umbrella permission to use and display it in connection with our marketing, and you confirm that it is truthful and that you have the right to share it.
16. Disclaimer of Warranties (Website)
The Site and all content on it are provided on an “as is” and “as available” basis, without warranties of any kind, whether express or implied, including but not limited to implied warranties of accuracy, completeness, merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Site will be uninterrupted, secure, or error-free, or that any information on it (including AI-generated responses) is accurate or current. This disclaimer concerns the website only and does not limit or affect the workmanship warranty in your signed construction agreement or any warranty that cannot be disclaimed under Oregon law.
17. Limitation of Liability
To the fullest extent permitted by law, Red Umbrella and its owner, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, profits, or goodwill, arising out of or related to your access to or use of the Site or your reliance on its content (including anything generated by Tess), even if we have been advised of the possibility of such damages. This limitation concerns the website; it does not limit our obligations under a signed construction contract, and it does not exclude any liability that cannot be excluded under Oregon law.
18. Indemnification
You agree to indemnify, defend, and hold harmless Red Umbrella and its owner, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your misuse of the Site, your violation of these Terms, or your violation of any law or the rights of a third party.
19. General Terms
Force majeure
We are not responsible for delays or failures caused by events beyond our reasonable control, such as severe weather, natural disasters, labor or material shortages, supplier delays, or government action.
Severability
If any provision of these Terms is found unenforceable, the remaining provisions stay in full effect.
Entire agreement & waiver
These Terms (with our Privacy Policy) are the entire agreement regarding your use of the Site. Our failure to enforce any provision is not a waiver of it.
Changes to these Terms
We may update these Terms from time to time; the “Last updated” date reflects the latest version, which always lives on this page, and your continued use constitutes acceptance.
20. Governing Law & Dispute Resolution
Governing law
These Terms and any dispute arising from them or from your use of the Site are governed by the laws of the State of Oregon, without regard to its conflict-of-law rules.
Venue
Any legal action regarding the Site or these Terms will be brought exclusively in the state or federal courts located in Lane County, Oregon, and you consent to their jurisdiction.
